In recent years, the private equity segment has been expanding in an increasingly volatile environment, offering a diversity of investment opportunities and alternative sources of financing.

Investing in new ventures, creating value while mitigating financial and legal risks and successfully meeting time constraints are just some of the challenges faced by private equity actors.

Our fields of expertise


Our Corporate Department regularly assists Belgian and foreign private equity investors and investment funds in their strategic corporate transactions from investment to exit, including buy-outs (LBOs, MBOs), as well as providing support to their investment targets and management teams. We also advise the founders of start-ups at all stages of their development projects.

Our assistance covers:

  • Due diligence;

  • Structuring (in cooperation with venture capitalists, financial institutions and other investors);

  • Drafting and negotiating all relevant agreements (financing agreements, investment and shareholders agreements, service contracts, capital increases, issuance of debt instruments, share transfer agreements, management incentive plans, etc.).


The Corporate Department works in close cooperation with other specialists within the firm, such as our Finance, Tax and Labour Law teams, ensuring that our clients receive comprehensive solutions.

Some recent projects



  • Advising the managers of a leading Belgian IT services provider listed on Euronext Brussels on the management buy-out of the group's business operations in Belgium and Luxembourg, including negotiations with the participating investment funds and other equity investors;

  • Advising a family-owned private equity fund on several investments, notably in the food sector;

  • Assistance provided to one of the founders of an important Belgian start-up relating to fundraising through equity and debt investments by a group of public investment entities and private investors. In this context, we commented on the various draft documentation (investment and shareholders agreements, consultancy agreement, loan agreement, modification to the articles of association, etc.);

  • Assisting a fund (part of a major global player in the energy sector) investing in innovative start-ups regarding the transfer of its shares in a Belgian company specialising in energy and green mobility to its management team;

  • Advising on the incorporation of a Belgian private investment fund active in the field of social and middle-level housing development, with further assistance to the fund for joint ventures operations, real estate acquisitions and fundraising.
